2. Service Description
ClientWarehouse.com operates as a professional lead marketplace that connects attorneys with verified client leads (“Leads”). Leads may include:
• Basic contact details, recorded audio files, PDFs, and other supporting documents.
How Leads Are Sourced
• All Leads are sourced from individuals who have explicitly requested legal assistance.
• Consent for information sharing is documented through recorded phone calls or written online consent.
Lead Quality Disclaimer
While all Leads are sourced from individuals who explicitly request legal assistance and undergo a vetting process, the Company does not independently verify the accuracy or completeness of every detail provided by the individual. Vetting is limited to confirming that the individual has given explicit consent to share their information and that the information aligns with the individual’s expressed intent.
Verification and Compliance
• Leads are uploaded, managed, and maintained exclusively by the Platform Admin or approved Affiliates.
• Each Lead undergoes a strict vetting process to ensure compliance with:

• State-specific bar regulations
• FTC standards
Neutral Marketplace
• ClientWarehouse.com is not a lawyer referral service and does not recommend or endorse specific attorneys or firms.
• The Platform serves as a neutral marketplace where attorneys can purchase vetted Leads based on their preferences and requirements.
Attorney Independence
• Attorneys retain full autonomy in assessing, managing, and pursuing Leads in accordance with their professional judgment and ethical obligations, as outlined in ABA Rule 5.4(c).
3. Account Registration and Verification
To access the Platform and Leads, you must:
1. Register an Account:
• Provide accurate, current, and complete business and contact information.
2. Verification Process:
• Account verification is required for full access to the Platform.
• Verification involves an Admin review of your business credentials to ensure compliance with platform requirements and applicable legal standards.
• The Admin reserves the right to approve, deny, or suspend any account at its sole discretion without an obligation to disclose reasons.
3. Account Security:
• You are responsible for safeguarding your account credentials.
• Any unauthorized activity on your account must be reported immediately.
• ClientWarehouse.com is not liable for unauthorized access caused by your failure to protect login information.
4. Verification Standards:
• The Platform verifies all information provided during registration to confirm compliance with ethical laws, including but not limited to:
• ABA Model Rules of Professional Conduct.
• State-specific bar regulations for attorneys.
• Privacy standards under laws such as CCPA, GDPR, and similar regulations.
4. Permitted Use of the Platform
a. Authorized Uses
By accessing or using ClientWarehouse.com, you agree to:
• Use the Platform and purchase Leads solely for lawful professional purposes related to your business.
• Maintain the confidentiality of purchased Leads and ensure that they are not shared, resold, sub-licensed, or otherwise distributed without explicit written permission from ClientWarehouse.com.
• Adhere to all applicable local, state, and federal laws governing the use of the Platform and Leads.
b. Prohibited Actions
Prohibited actions include, but are not limited to:
• Misrepresenting your business identity, credentials, or purpose.
• Circumventing payment processes or attempting unauthorized access to the Platform or its features.
• Uploading, sharing, or using Leads for illegal purposes or in ways that violate:
• ABA Model Rules.
• State bar regulations.
• Privacy laws such as CCPA and GDPR.
• Engaging in fraudulent activities, such as automated scraping, hacking, or exploiting vulnerabilities in the Platform.
c. Consequences of Violations
Data Integrity and User Responsibility
While ClientWarehouse.com endeavors to provide accurate and complete Leads, it cannot guarantee the validity, responsiveness, or suitability of Leads for every user. Attorneys and other users of the Platform agree to independently assess the accuracy and relevance of all Lead data before taking any professional actions. Use of the Platform constitutes acceptance of this responsibility.
• The Company reserves the right to suspend or terminate your account without prior notice if you violate these Terms.
• Legal action may be pursued against users engaging in prohibited activities, including but not limited to:
• Recovery of damages.
• Reporting to relevant authorities for further enforcement.
5. Payment Terms and Refund Policy
a. General Refund Policy
• All purchases made on ClientWarehouse.com are final and non-refundable, except under the following conditions:
• Refund requests meet the specific criteria outlined below.
• Exceptional circumstances are approved at the discretion of the Customer Support team.
b. Refunds for the Buy Now Feature
Refunds for purchases made using the Buy Now button may be eligible under these conditions:
1. Refund Window:
• Refund requests must be submitted within 14 days of purchase.
• Requests submitted after 14 days are subject to the discretion of the Customer Support team.
2. Valid Reasons for Refund:
• The inability to contact the client despite reasonable efforts.
• Users acknowledge their responsibility to contact the client promptly after purchase.
3. Company Assistance:
• If contact cannot be established, ClientWarehouse.com may attempt to contact the client to reinvigorate interest.
• Refunds for this reason are not guaranteed, as the Platform’s role is to facilitate the initial connection.
4. Unsuccessful Cases:
• Refunds may be granted on a case-by-case basis when Leads prove unsuccessful.
c. Refunds for the Buy Later Feature
The Buy Later feature allows users to reserve Leads and complete the purchase at their discretion. Users agree to the following:
1. Obligation to Complete Purchase:
• By reserving a Lead, users agree to complete the purchase.
2. Cancellation Requests:
• Cancellation requests for reserved Leads are allowed only before finalizing the purchase.
• Such requests are subject to review and approval by the Customer Support team.
3. Partial Payment Obligations:
• Partial payment may still be required if client information has already been accessed, as the Lead is no longer usable in the marketplace.
4. Misuse of the Feature:
• Abuse of the Buy Later feature, including repeated cancellations, may result in account suspension or termination.
d. Discretionary Refunds
• Refund requests outside the specified conditions will be reviewed on a case-by-case basis.
• Refunds granted at the team’s discretion may be partial or full, depending on the circumstances.
e. Feature-Specific Terms
• Additional terms for certain features or functionalities may apply and will be presented to users during use (e.g., via pop-up).

• Ethical Accountability for Affiliates and Partners:
• Affiliates must meet the same ethical standards as ClientWarehouse.com.
• Leads submitted by third parties are vetted to confirm compliance with consent, privacy, and advertising laws.
7. Lead Access and Limitations
a. Access to Leads
• Users may preview up to three Leads without immediate purchase to evaluate their quality and relevance.
• Access to Leads is granted exclusively to the purchasing user or entity and is intended solely for lawful professional use as outlined in these Terms.
b. Premium Leads
• Premium Leads are designated with a special marker and may have separate pricing and discount policies.
• Coupons or subscription benefits may apply to Premium Leads, but reductions may differ from those offered for standard Leads.
c. Confidentiality and Usage Restrictions
• Leads must not be shared, resold, sublicensed, or distributed without explicit written permission from ClientWarehouse.com.
• Users agree to maintain the confidentiality of purchased Leads and comply with applicable privacy laws and ethical standards.
d. Unauthorized Use
• Unauthorized use or sharing of Leads is strictly prohibited and may result in:
• Immediate account suspension or termination.
• Legal action, including recovery of damages and costs incurred by ClientWarehouse.com.
e. Responsibility for Contacting Clients
• Users are solely responsible for contacting individuals associated with purchased Leads in a timely and professional manner.
• Delays in contacting clients may reduce the likelihood of successful engagement and are strongly discouraged.
8. Intellectual Property
a. Ownership of Content
• All content on ClientWarehouse.com—including text, graphics, logos, audio files, lead formats, designs, software, and other proprietary materials—is the exclusive property of Get A Claim LLC or its licensors.
• This content is protected under copyright, trademark, and other intellectual property laws in the United States and internationally.
b. Limited License to Users
• Users are granted a limited, revocable, non-exclusive license to access and use the Platform and Leads solely for professional purposes as defined in these Terms.
• Unauthorized reproduction, modification, resale, distribution, or exploitation of Platform content or Leads is strictly prohibited.
c. Trademarks
• All trademarks, service marks, logos, and trade names appearing on the Platform are the property of Get A Claim LLC or their respective owners.
• Unauthorized use of these trademarks is prohibited and may result in legal action.
d. User Contributions
• Any materials or feedback submitted to the Platform by users (e.g., reviews or suggestions) become the property of ClientWarehouse.com.
• By submitting such materials, users grant ClientWarehouse.com a perpetual, irrevocable, royalty-free license to use, reproduce, modify, and distribute the materials for any purpose.
9. Ownership Changes and Liability Limitations

• ClientWarehouse.com and its operations may, at any time, be sold, transferred, or assigned to a new owner or entity.
• In the event of such ownership changes, these Terms will remain binding on all users.

• By agreeing to these Terms, you waive all rights to bring legal claims, lawsuits, or demands against ClientWarehouse.com, its current or future owners, its parent company (Get A Claim LLC), affiliates, subsidiaries, or any associated companies, regardless of any changes in ownership or management.
b. Liability Limitations

• Get A Claim LLC and its affiliates, owners, and successors shall not be liable for any damages, including but not limited to:
• Direct, indirect, incidental, consequential, or punitive damages arising from:
• Use of the Platform or purchased Leads.

• Unauthorized access to or alteration of your account.
• Total Liability Cap:
• The Company’s total liability for any claims, damages, or losses shall not exceed the amount paid by the user for the Leads in question.
10. Legal Jurisdiction and Multi-State Operations
a. Multi-State Operations
• ClientWarehouse.com operates across all 50 states within the United States.
• Users are responsible for ensuring compliance with state-specific laws and regulations applicable to their use of the Platform and purchased Leads.
b. Governing Law
• These Terms, and any disputes arising out of or relating to them, will be governed by the laws of the State of Florida or the laws of the state where the company is legally based if the company is sold, transferred, or relocated.
c. Jurisdiction
• Any disputes, claims, or legal actions arising from or relating to these Terms shall be resolved exclusively in the state or federal courts located in Clearwater, Florida, or in the jurisdiction of the company’s new legal base if relocated.
11. Mandatory Arbitration and Limitation of Legal Action
a. Arbitration Agreement
• By agreeing to these Terms, you agree that any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or the purchase of Leads shall be resolved exclusively through binding arbitration in accordance with the rules of the American Arbitration Association (AAA).
• Arbitration will occur in Clearwater, Florida, or in the jurisdiction of the company’s legal base if relocated.
• Each party shall bear its own legal fees and arbitration costs unless otherwise awarded by the arbitrator.
• Arbitration is the sole and exclusive remedy for disputes, and you waive your right to bring legal action in any court, except to enforce an arbitration award.
Scope of Arbitration
The arbitration provision applies to all claims, disputes, or controversies, including but not limited to those alleging gross negligence, intentional misconduct, or statutory violations by the Company. Users expressly waive their right to pursue such claims in court, except where prohibited by law.
b. No Class Actions
• You agree that any arbitration or legal proceeding shall be conducted individually and not as part of a class action or consolidated claim.
c. Frivolous Claims
• If an arbitrator or court determines that a claim brought against ClientWarehouse.com, its owners (current or future), or associated companies is frivolous or filed in bad faith, you agree to reimburse the Company for all reasonable legal fees, arbitration costs, and expenses incurred, up to a maximum of $100,000.

ClientWarehouse.com makes no guarantees regarding the accuracy, reliability, or completeness of Leads or their potential to result in client engagement or successful case outcomes. The Company does not warrant that the Platform will operate uninterrupted, securely, or error-free.
1. Limitations of Liability for Leads
• Leads are vetted for quality and compliance; however, ClientWarehouse.com does not guarantee:
• The availability or responsiveness of individuals associated with Leads.
• The suitability or success of any Lead for the attorney’s purposes.
• The Company’s total liability for any claims, damages, or losses shall not exceed the amount paid by the user for the Lead in question.
2. Affiliate Disclaimer
Affiliates approved by ClientWarehouse.com may upload potential lead information (“Affiliate Submissions”) for consideration and potential listing on the Platform. Affiliates are bound by the following terms and conditions:
• Verification of Affiliate Submissions
• All Affiliate Submissions are subject to a strict vetting process to ensure compliance with ethics laws, quality standards, and consumer consent requirements.
• Submissions will not be listed for sale until they have been fully reviewed and approved by ClientWarehouse.com.
• Affiliate Commission
• Affiliates acknowledge that their participation in the Affiliate Program is voluntary and subject to the terms outlined in this agreement. The Company reserves the right to adjust commission rates, reject submissions, or modify program requirements at its sole discretion. Affiliates waive any claims of reliance or expectation damages arising from changes to the program, commission structure, or submission acceptance rates.
• Affiliate Responsibilities
• Affiliates are responsible for ensuring that all information provided in their submissions is accurate, lawful, and compliant with applicable privacy and ethical standards.
• Affiliates must obtain explicit consent from individuals before submitting their information to the Platform. Documentation of consent may be required upon request.
• Affiliates may not upload any fraudulent, misleading, or unlawful information. Violations may result in:
• Immediate termination of Affiliate status.
• Legal action for damages incurred by ClientWarehouse.com.
• Forfeiture of pending commissions.
• Affiliate Restrictions
• Affiliates may only upload client information to the Platform; they are not permitted to purchase any Leads, including those they have submitted themselves.
• Affiliates are prohibited from using the Platform for purposes outside of their authorized role, including but not limited to:
• Misrepresentation of their affiliation with ClientWarehouse.com.
• Bypassing Platform processes or policies.
• Platform Liability and Indemnification
• Affiliates agree to indemnify and hold harmless ClientWarehouse.com, its owners, affiliates, and associated companies from any claims, damages, or losses arising out of their submissions or actions.
• The Platform is not liable for any loss of potential revenue or commission due to changes in commission rates, rejection of submissions, or the removal of leads from the Platform.
• Dispute Resolution
• Any disputes arising from or relating to Affiliate Submissions, commission rates, or other aspects of the Affiliate Program will be resolved exclusively through binding arbitration as outlined in Section 11 of these Terms.
• Affiliates waive their right to bring legal action in any court and agree to arbitration as the sole remedy.
• Termination of Affiliate Status
• ClientWarehouse.com reserves the right to terminate any affiliate’s status without prior notice for violations of these Terms or for behavior deemed harmful to the Platform’s reputation or operations.
3. Affiliate Program Participation Acknowledgment
• By participating in the Affiliate Program, you acknowledge and agree to these terms, including the discretionary nature of commission rates and the binding arbitration clause.
b. Third-Party Submissions
ClientWarehouse.com may accept submissions from third parties who are not formal affiliates but wish to contribute Leads to the Platform. These submissions are also subject to the verification and compliance standards outlined above. The Company reserves the right to reject any third-party submissions without explanation.
13. Changes to These Terms
• ClientWarehouse.com reserves the right to update, modify, or amend these Terms at any time.
• Changes will take effect immediately upon being posted to the Platform unless otherwise specified.
• For significant updates, the Company will provide advance notice of at least 5 days via email, Platform notifications, or other reasonable means. Continued use of the Platform after the effective date of changes constitutes acceptance of the updated Terms.
